1Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and Centinal Private Limited (“Company”, “we”, “our”, or “us”), governing your access to and use of the Centinal mobile and web application (the “Platform”).

By registering, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

2Eligibility

  • You must be at least 18 years of age to use the Platform.
  • You must be legally competent to enter into contracts under the Indian Contract Act, 1872.
  • You must be a registered individual property owner or duly authorised representative.
  • Use of the Platform by persons declared insolvent or of unsound mind is strictly prohibited.

3Account Registration

To access the full features of the Platform, you must register an account by providing accurate, complete, and current information. You agree to:

  • Maintain the confidentiality of your login credentials and not share them with any third party
  • Promptly update your account information if it changes
  • Notify us immediately at legal@centinal.in if you suspect unauthorised access to your account
  • Accept full responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false, misleading, or incomplete information.

4Services Provided

The Platform provides the following property management services to individual property owners:

  • Property listing and portfolio management
  • Tenant record management and lease tracking
  • Rent collection, payment reminders, and transaction records
  • Maintenance request logging and tracking
  • Document storage for property-related records
  • Notifications and alerts for key property management milestones

The Platform acts solely as a technology-enabled tool to assist property owners in managing their properties. We are not a real estate broker, property management company, or legal or financial advisor. All decisions made using the Platform remain solely your responsibility.

5User Obligations

As a user of the Platform, you agree to:

  • Use the Platform only for lawful purposes and in compliance with all applicable laws of India
  • Ensure that all property information, tenant data, and documents uploaded are accurate and that you have the legal right to upload and use them
  • Not use the Platform for any fraudulent, misleading, or illegal activity
  • Not attempt to reverse-engineer, decompile, or tamper with any part of the Platform
  • Not upload malicious code, viruses, or any content that could harm the Platform or other users
  • Not use automated bots, scrapers, or similar tools to access the Platform
  • Obtain all necessary consents from tenants or third parties before entering their personal data into the Platform
  • Comply with applicable data protection laws when handling third-party personal information

6Fees and Payments

6.1 Subscription Plans

Access to certain features of the Platform may require a paid subscription. Details of applicable plans, pricing, and features are displayed on the Platform and are subject to change with prior notice.

6.2 Payment Processing

All payments are processed through third-party payment gateways. By making a payment, you agree to the payment gateway’s terms of service. We do not store your complete payment card details.

6.3 Refund Policy

Subscription fees are non-refundable except where: (a) a technical error on our part prevents access to paid features; or (b) the service is discontinued by us. Refund requests must be submitted within 7 days of the relevant transaction to legal@centinal.in.

6.4 Taxes

All fees displayed are exclusive of applicable taxes including GST. You are responsible for any applicable taxes arising from your use of the Platform.

7Intellectual Property

All content on the Platform, including but not limited to the software, design, text, graphics, logos, icons, and data compilations, is the exclusive intellectual property of Centinal Private Limited or its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for your personal property management purposes. You must not copy, reproduce, distribute, modify, or create derivative works from any part of the Platform without our prior written consent.

8Limitation of Liability

To the maximum extent permitted by applicable law, Centinal Private Limited shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform
  • Loss of data, profits, goodwill, or business opportunities
  • Errors, interruptions, or unavailability of the Platform
  • Actions or omissions of third-party service providers including payment gateways
  • Losses arising from your reliance on information provided through the Platform

Our total aggregate liability to you for any claim arising out of these Terms shall not exceed the subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

9Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

10Indemnification

You agree to indemnify, defend, and hold harmless Centinal Private Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content or data you upload to the Platform.

11Suspension and Termination

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice, for:

  • Violation of these Terms or our Privacy Policy
  • Fraudulent, illegal, or abusive conduct
  • Non-payment of applicable fees
  • Any activity that may harm the Platform, other users, or third parties

Upon termination, your right to access the Platform ceases immediately. You may request export of your data within 30 days of termination after which it may be permanently deleted.

12Modifications to the Platform and Terms

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time. We will notify you of material changes to these Terms via email or in-app notification at least 7 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

13Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, acts of government, internet or network outages, pandemics, or civil disturbances.

14Grievance Redressal

In accordance with the Information Technology Act, 2000, and the Consumer Protection Act, 2019, users may raise grievances by contacting:

We will acknowledge your grievance within 24 hours and endeavour to resolve it within 30 days.

15Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

15.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Hyderabad, Telangana, India. The language of arbitration shall be English.

15.3 Jurisdiction

Subject to the arbitration clause above, the courts in Hyderabad, Telangana shall have exclusive jurisdiction over any matter not subject to arbitration.

16Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated herein, constitute the entire agreement between you and the Company with respect to the Platform and supersede all prior understandings or agreements.
